1. General Terms
1.1. These Terms of Purchase (“Terms”) and the documents referred to herein establish the legally binding agreement governing the purchase of products (the “Product(s)”) from Sol Millennium Malaysia Sdn. Bhd. (“Sol-M”, “us”, “we”, “our”) through the official website at https://insujet.my/ (the “Website”).
1.2. For the purposes of these Terms, the “Customer” shall be the individual or entity identified as such in the official order confirmation. Each transaction for the purchase of Product(s) constitutes a separate and binding agreement (“Order”) between the Customer and Sol-M.
1.3. These Terms must be read in conjunction with our Legal Notice, Privacy Policy, and Cookie Policy. By placing an Order, the Customer irrevocably acknowledges having read, understood, and agreed to be bound by all aforementioned documents, which are incorporated by reference and form an integral part of this agreement.
1.4. In the event of any conflict or inconsistency between these Terms and the Legal Notice, Privacy Policy, or Cookie Policy, the provisions of these Terms of Purchase shall prevail to the extent of such inconsistency.
1.5. We reserve the right to modify, amend, or update these Terms at any time in our sole discretion, without prior notice. Any modifications will be posted on the Website and shall take immediate effect from the date of posting. The Customer's continued use of the Website to purchase Product(s) following any such changes constitutes unconditional acceptance of the modified Terms. We advise the Customer to review these Terms regularly before making any purchase.
1.6. All decisions, interpretations, and determinations made by Sol-M under these Terms shall be final, conclusive, and binding.
2. Product Information and Pricing
2.1. We reserve the right to modify, add, discontinue, or remove any Product(s) from the Website, temporarily or permanently, at any time and without prior notice.
2.2. Medical Device: The Product(s) sold on this Website are classified as medical devices under the Medical Device Act 2012 (Act 737) and are registered with a valid certificate from the Medical Device Authority of Malaysia (MDA). All Products are intended for use strictly and exclusively in accordance with the guidance, prescription, and supervision of a qualified healthcare professional. The information provided on this Website is for educational and informational purposes only and does not, under any circumstance, substitute for professional medical diagnosis, advice, or treatment. The Customer affirms their responsibility to consult with a healthcare professional before using the Product or making any decisions related to their health.
2.3. While we exercise reasonable commercial care to ensure that all information on the Website including Product descriptions, specifications, and prices is accurate and up-to-date, we do not warrant its absolute accuracy or completeness. In the event of an error or omission, we reserve the right to correct it at any time, which may include cancelling an Order.
2.4. Pictures, images, and any depictions of Products on the Website are for illustrative purposes only. The actual Product, including its packaging, may vary. For an accurate description of any Product and the details of what is included, the Customer must refer to the written Product description. Product colours may also appear differently depending on the Customer's monitor and display settings.
2.5. Unless expressly stated otherwise, all prices for Products displayed on the Website are quoted in Malaysian Ringgit (MYR). These prices are exclusive of any applicable taxes (including, without limitation, any Sales & Service Tax), shipping fees, and other charges, which will be calculated and added to the total amount payable at checkout.
2.6. We do not guarantee that any prices, promotions, or Product availability on the Website will be the same as those offered in any other retail, clinical, or in-store channels, and vice versa.
2.7. We reserve the absolute right, at our sole discretion, to adjust prices, Product descriptions, and special offers at any time without prior notice.
3. Orders and Contract Formation
3.1. The Customer is solely responsible for placing an Order by accurately and completely filling out the designated order form on the Website. The Customer bears all responsibility for the accuracy and completeness of the information provided, including delivery and contact details.
3.2. An Order submitted by the Customer constitutes a formal offer to purchase the Product(s) subject to these Terms. A binding contract is formed between the Customer and Sol-M only upon the dual conditions of
(a) the successful completion and verification of the Customer's full payment, and
(b) our subsequent issuance of an official Order confirmation. We expressly reserve the right, at our sole discretion, to refuse, reject, or cancel any Order at any time, for any reason, without liability, including after payment has been processed and an Order confirmation has been issued.
4. Terms of Payment
4.1. The Customer shall make payment for the Order using one of the approved payment methods available on the Website. These methods are subject to the following conditions:
(a) Credit Cards: We accept all 3D Secure-enabled Visa and MasterCard credit cards. All credit card information is protected by industry-leading encryption standards. Customers using a non-Malaysian issued card may incur additional charges, including foreign exchange conversion fees, from their issuing bank.
(b) Debit Cards: We accept all Malaysian-issued Visa and MasterCard debit cards, subject to bank availability and approval. All debit card data is protected by industry-leading encryption standards.
(c) Online Banking (FPX): By selecting this method, the Customer authorizes the immediate transfer of the total purchase price in Ringgit Malaysia (MYR) from their bank account to Sol-M's designated account. We reserve the right to suspend or refuse this payment option to any Customer without notice or reason.
4.2. Payment for the total Order amount, including all applicable taxes and shipping fees, must be completed in full and successfully verified before an Order is processed, confirmed, or dispatched.
5. Delivery of Orders
5.1. Third-Party Logistics Provider: All delivery services are managed and executed by our appointed third-party logistics partners ("Logistics Partners"). The Customer acknowledges and agrees that the delivery service is a contract between the Customer and the Logistics Partner, which Sol-M facilitates.
5.2. Shipment Tracking: A tracking number will be generated and provided to the Customer for each Order upon dispatch. The Customer can monitor the delivery status and receive updates through the tracking portal on our Website or the Logistics Partner’s official website.
5.3. Receipt and Inspection: Upon delivery, it is the Customer's exclusive responsibility to inspect the external condition of the package(s), verify that the correct number of packages has been delivered against the order, and sign the proof of delivery (POD) document presented by the Logistics Partner.
5.4. Availability for Delivery: The Customer must ensure they or an authorized representative, who must be eighteen (18) years of age or older, is present at the delivery address to receive the Order. Our Logistics Partners are not obligated to verify the identity or authority of the person receiving the delivery and will not leave any Product(s) unattended or without a valid acknowledgement on the POD.
5.5. Unsuccessful Delivery: If delivery remains unsuccessful after reasonable attempts by our Logistics Partner (the number of which is at the Logistics Partner's discretion), the Order may be returned to our facility and cancelled. Any refund issued in such a case will be subject to deductions for all incurred administrative and two-way delivery fees.
6. Product Use Training
6.1. To promote the correct, safe, and effective use of the Product(s), Sol-M makes available several training options. The Customer is strongly encouraged to utilize the option best suited to their needs to ensure full confidence and competence in operating the device.
6.2. The following training options are available:
(a) Online Video Training: A comprehensive library of instructional videos is available in the "How to Use" section of the Website.
(b) Group Webinars: Live, scheduled webinar sessions featuring a professional demonstration of the Product and a real-time question and answer session.
(c) Individual Video Conference Training: A personalized, one-on-one remote training session with a healthcare professional. This confidential session can be requested after an Order is placed.
(d) Home-Based Training: In-person training at the Customer's home, provided by a qualified healthcare professional, such as a certified nurse. This service is arranged through specialized third-party platforms.
6.3. These options are offered to support the Customer in achieving safe, autonomous, and effective use of the Product. The ultimate legal responsibility for the correct usage of the Product remains with the Customer as outlined in these Terms.
7. Title and Risk of Loss
7.1. Risk of Loss: All risk of loss, theft, or damage to the Product(s) shall pass to the Customer immediately upon successful delivery. Delivery is contractually deemed to have occurred at the moment the Order is delivered to the address specified by the Customer and the POD has been acknowledged.
7.2. Retention of Title: Notwithstanding the transfer of risk, legal and beneficial ownership and title to the Product(s) shall not pass to the Customer until Sol-M has received full, final, and cleared payment for the total value of the Order.
8. Returns and Refunds
8.1. No "Change of Mind" Returns: In compliance with health, safety, and hygiene regulations applicable to medical devices, we maintain a strict no-return policy. Once an Order has been delivered and accepted, it cannot be returned for a refund or exchange due to a change of mind, incorrect choice, or a determination that the product is not suitable. All sales are considered final.
8.2. Permissible Returns: The only exceptions to the no-return policy are in cases where the Product(s) delivered are verifiably:
(a) Damaged in transit prior to delivery;
(b) Found to have a manufacturing defect in materials or workmanship; or
(c) Incorrect, meaning not the Product(s) that the Customer ordered.
8.3. Reporting Obligation: The Customer must inspect the Product(s) immediately upon delivery. Any claim for damage, defect, or incorrect Product(s) must be reported to Sol-M's customer service via email within three (3) working days of receipt. The report must include the Order number, a detailed written description of the issue, and clear, supporting photographic evidence.
8.4. Return Authorization: No returns of any kind will be accepted without a valid Return Authorization issued by Sol-M after a formal review of a timely claim.
8.5. Inspection and Resolution: Once a returned Product is received, Sol-M will conduct a final inspection. If the claim is validated, we will, at our sole discretion, either issue a refund for the Product price or dispatch a replacement Product. If the claim is not validated, no refund or replacement will be provided, and the Customer will be liable for all associated re-delivery costs.
9. Limited Warranty
9.1. Warranty Coverage: The Product(s) are covered by a manufacturer's Limited Warranty. The specific terms, conditions, coverage details, limitations, and exclusions are detailed in the official Warranty Policy available on our Website, which is incorporated by reference into these Terms.
9.2. Warranty Period: The warranty period commences on the date of successful delivery and remains valid for the duration specified in the Warranty Policy.
9.3. Warranty Registration: To activate the warranty, the Customer must register their Product online at `https://insujet.my/pages/warranty` and retain the original delivery note as proof of purchase. Failure to complete these steps may void the warranty.
9.4. Exclusive Remedy: The remedies provided under the Warranty Policy, which may include repair or replacement at Sol-M's sole discretion, shall be the Customer’s sole and exclusive remedy for any breach of said warranty.
10. Limitation of Liability and Disclaimers
10.1. Statutory Liability: Nothing in these Terms shall limit or exclude Sol-M’s liability for death or personal injury caused by our proven negligence, fraud, or any matter for which it would be unlawful to exclude liability under the laws of Malaysia.
10.2. Cap on Liability: To the maximum extent permitted by law, Sol-M’s maximum aggregate liability to the Customer for any and all losses, damages, or claims arising from this agreement or any Order shall not exceed the total amount paid by the Customer for the specific Order that is the subject of the claim.
10.3. Exclusions from Liability: Sol-M is not liable for any loss or damage suffered by the Customer resulting from the Customer's breach of these Terms or from a Force Majeure Event.
10.4. Exclusion of Consequential Losses: To the fullest extent permitted by law, neither party shall be liable to the other for any indirect, incidental, special, or consequential loss or damages, including, but not limited to, loss of profits, loss of revenue, loss of business opportunity, or loss of goodwill.
10.5. Notice Period for Claims: The Customer must notify Sol-M in writing of any intention to make a claim under this agreement within six (6) months of the date the event giving rise to the claim occurred or ought reasonably to have been discovered. Sol-M shall have no liability for any claim for which notice is not given within this period.
11. Customer's Obligations and Warranties
11.1. Age and Capacity: The Customer represents and warrants that they are at least eighteen (18) years of age and possess the full legal capacity to enter into this binding agreement.
11.2. Compliance with Instructions: The Customer's primary and absolute obligation is to use the Product(s) in strict and unwavering compliance with the user manual.
11.3. Responsibility for Misuse: The Customer accepts full and unconditional liability for any adverse consequences, harm, or damage that results from any use of the Product(s) that deviates from the user manual. Such deviation not only constitutes a material breach of these terms but also immediately voids any and all warranties.
11.4. Professional Medical Guidance: The Customer acknowledges that the Product(s) are not a substitute for professional medical advice. All therapeutic decisions must be made exclusively in consultation with a qualified healthcare provider.
11.5. Warranty Voiding Conditions: The Limited Warranty is strictly conditional upon the Customer’s fulfillment of these obligations and is immediately rendered null and void if damage or malfunction results from any of the following: failure to adhere to the user manual; use for an unintended purpose; unauthorized repairs or modifications; or any accident, negligence, or misuse by the Customer.
12. Intellectual Property
12.1. All content and materials on the Website, including, but not limited to, text, images, graphics, logos, trade names, and trademarks (inclusive of “InsuJet” and “Sol-M”), and all related intellectual property rights, are the exclusive property of Sol-M or its licensors. This content may not be used, copied, reproduced, distributed, or modified in any manner without prior express written consent from Sol-M.
13. Governing Law and Jurisdiction
13.1. Governing Law: This agreement, all Orders, and any disputes arising therefrom shall be governed by and construed exclusively in accordance with the laws of Malaysia.
13.2. Exclusive Jurisdiction: The parties irrevocably agree that the courts of Malaysia shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement.
14. Force Majeure
14.1. Sol-M shall not be liable for any failure or delay in performance caused by a Force Majeure Event, which is any event beyond our reasonable control.
14.2. A Force Majeure Event includes, without limitation: acts of God (such as fire, flood, or earthquake); war or civil unrest; acts of terrorism; epidemics or pandemics; acts of any governmental authority; widespread power or transportation failures; and significant, unforeseeable supply chain disruptions.
14.3. If a Force Majeure Event occurs, our obligations will be suspended for the duration of the event, and we will notify the Customer as soon as reasonably practicable.
